1. Grant of License

Subject to the terms below, Alaska Media Market (acting as authorized agent for the Photographer) grants the Licensee a non-exclusive, non-transferable, worldwide, perpetual license to use the Image for editorial purposes only.

2. Permitted Uses

  • News, journalism, and opinion publications, in print and online.

  • Educational publications, textbooks, and classroom materials.
  • Documentary film and television, in context.
  • Author blogs and personal essays of an editorial nature.

    • 3. Prohibited Uses

    The Licensee may NOT:

  • Use the Image in any advertising, marketing, promotional, or commercial context.
  • Use the Image on or in connection with merchandise offered for sale.
  • Misrepresent any subject depicted, place words in their mouth, or use the Image in a defamatory, derogatory, or invasive context.
  • Sublicense, resell, redistribute, or transfer the Image or any derivative.
  • Remove or alter watermarks on preview versions.
  • Use the Image in a way that suggests endorsement by the Photographer or any subject depicted.

    • 4. Credit

    A photo credit is required and must appear adjacent to the Image or in a credits section of the publication, in the form: "© Contributor Name / Alaska Media Market".

    5. Releases

    Editorial use does not require model or property releases. However, the Licensee is solely responsible for ensuring its use does not defame, invade privacy, or violate publicity rights of any identifiable subject.

    6. Term

    This license is perpetual for the permitted scope. It terminates automatically upon material breach.

    7. Ownership

    Copyright in the Image remains with the Photographer at all times.

    8. Warranties

    The Photographer warrants they own the copyright in the Image. THE IMAGE IS OTHERWISE PROVIDED "AS IS." Alaska Media Market AND THE PHOTOGRAPHER DISCLAIM ALL OTHER WARRANTIES, INCLUDING ANY WARRANTY THAT THE IMAGE IS APPROPRIATE FOR THE LICENSEE'S INTENDED EDITORIAL CONTEXT.

    9. Indemnification

    The Licensee shall indemnify Alaska Media Market and the Photographer against any claims arising from the Licensee's editorial use of the Image, including claims for defamation, invasion of privacy, or violation of publicity rights.

    10. Limitation of Liability

    Total liability of Alaska Media Market and the Photographer is limited to the amount paid for this license. Neither party is liable for indirect or consequential damages.

    11. Governing Law

    This agreement is governed by the laws of the State of Alaska, USA. Disputes shall be resolved in the state or federal courts located in Anchorage, Alaska.
